INDIANHONEY SUPPLIER CODE OF CONDUCT
- PURPOSE
This Supplier Code of Conduct (hereinafter referred to as the “Code” or the “Code of Conduct”) establishes the policy framework for all current and potential suppliers of IndianHoney in relation to its projects and any associated entities. IndianHoney’s suppliers include vendors, partners, consultants, manufacturers, contractors, and sub-contractors who are either currently under contract or seeking to provide goods, services, or personnel to IndianHoney. This policy applies to IndianHoney and all its subsidiaries.
The Code sets forth the legal and ethical standards required in the conduct of business activities, emphasizing the importance of ethical risk awareness, guidance on handling issues, and channels for reporting unethical behavior. IndianHoney is committed to serving millions across India and internationally; hence, we depend on our Suppliers to embrace a culture of integrity, transparency, and accountability.
- COMPLIANCE WITH LAWS, CODES, REGULATIONS, AND CONTRACTUAL ARRANGEMENTS
Suppliers are required to comply with all applicable Indian laws and regulations—including, but not limited to, the relevant provisions of labor, health, safety, environmental protection, and anti-corruption legislations—as well as any international laws pertinent to their operations. In addition, Suppliers must adhere to every contractual commitment entered into with IndianHoney and all obligations set forth in this Code.
- TREATING PEOPLE WITH DIGNITY AND RESPECT
3.1 Applicable Human Rights and Labor Laws
Suppliers must respect and follow all applicable human rights and labor laws in India, such as the Constitution of India, the Factories Act, the Minimum Wages Act, and the Child Labour (Prohibition and Regulation) Act, among other regulations. IndianHoney expects its Suppliers to promote a respectful, fair, and humane working environment.
3.2 No Forced or Child Labor
In strict compliance with Indian law, Suppliers shall not employ forced, involuntary, or slave labor in any form, including prison labor or debt bondage. Furthermore, Suppliers must adhere fully to the Child Labour (Prohibition and Regulation) Act, ensuring that only workers at or above the legal minimum age are employed. Human trafficking and any abuse—physical or psychological—are unacceptable.
3.3 Diversity and Inclusion
Recognizing the strength of diverse perspectives, IndianHoney mandates that all Suppliers maintain a workplace free of discrimination. Employees and stakeholders must be treated with dignity and respect irrespective of race, ethnicity, gender, age, disability, religion, or any other characteristic.
3.4 Anti-Harassment
Suppliers must foster a work environment that is free from harassment, including any form of discrimination, victimization, or bullying. All personnel are expected to uphold a culture of mutual respect and professional courtesy.
3.5 Wages and Hours
Suppliers must adhere to the applicable Indian labor laws regarding working hours, wages, overtime, and other employment conditions. Employees must receive at least the prescribed minimum wage, and the working conditions must ensure humane treatment, including the provision of appropriate rest periods, paid leave, and holiday entitlements as mandated by law.
- ENVIRONMENTAL, HEALTH, AND SAFETY PRACTICES
Suppliers are required to operate their facilities in compliance with the Indian Environment Protection Act and all other relevant environmental regulations. This includes, but is not limited to:
- Obtaining and maintaining necessary environmental permits.
- Responsible handling and disposal of hazardous materials and waste.
- Monitoring and managing any discharges or emissions.
- Conducting thorough safety training and providing adequate safety equipment.
- Keeping records that document compliance with environmental and safety standards.
- SAFE AND HEALTHY WORKPLACE
A secure and healthy working environment is essential. Suppliers must follow all Indian health and safety regulations applicable to their operations—including provisions outlined in the Factories Act and other relevant guidelines—to ensure the well-being of their employees. IndianHoney values partners who actively promote and maintain safety and hygiene at their facilities.
- ETHICAL BUSINESS PRACTICES
6.1 Bribery
IndianHoney adopts a zero-tolerance policy toward bribery and corruption. In line with the Prevention of Corruption Act, 1988, Suppliers must not offer, accept, or facilitate payments or benefits—whether monetary or in-kind—that could improperly influence business decisions or secure an unfair advantage.
6.2 Fraud
Suppliers are expected to perform all business dealings with honesty and integrity. Any fraudulent activities or deceptive practices are strictly prohibited and will be dealt with severely.
6.3 Fair Competition Laws
Suppliers must conduct their business in accordance with the Competition Act, 2002 of India. Practices such as collusive bidding, price-fixing, or any form of anti-competitive behavior are unacceptable.
6.4 Ethical Sourcing
When acquiring goods or services, Suppliers shall ensure that all third-party sources comply with Indian laws regarding health, safety, employment conditions, and environmental protection. Full traceability and authenticity of products must be maintained at all times.
6.5 Conflict of Interest
Suppliers are required to operate in an open and transparent manner. Any potential or actual conflict of interest—such as a close personal or business relationship with an IndianHoney employee—must be disclosed immediately to IndianHoney before proceeding with any business decisions.
6.6 Gifts and Business Courtesies
While the exchange of modest gifts or gestures of goodwill may be customary, such practices must never compromise integrity. Gifts or business courtesies that could be interpreted as an attempt to influence business decisions are not permitted—especially during any active tendering or bidding process.
- INTELLECTUAL PROPERTY
Suppliers must respect all intellectual property rights and confidentiality obligations. Any sensitive or proprietary information provided by IndianHoney must be safeguarded rigorously and must not be disclosed or used for any purposes other than those authorized by IndianHoney. Upon the termination of their relationship with IndianHoney, Suppliers are required to return or certify the destruction of all sensitive materials.
7.1 Anti-Counterfeit
Suppliers are responsible for verifying the authenticity of all materials and parts. Any deceptive practices aimed at misrepresenting the origin or quality of materials are strictly forbidden.
- MONITORING AND COMPLIANCE
Suppliers must take full responsibility for ensuring ongoing compliance with this Code through regular internal audits, reviews, and employee training. Any known or suspected violations must be promptly reported to IndianHoney. IndianHoney reserves the right—consistent with applicable Indian legal standards—to conduct periodic on-site inspections, request supporting documentation, and carry out any other necessary steps to verify compliance. In cases of material or repeated non-compliance, IndianHoney may take corrective action or terminate its relationship with the Supplier.
